Trade Name

Description:

  • A Trade Name Registration Statement is a legal document setting forth the name and address of the person(s), firm, or partnership owning and doing business; the nature of the business; and the name of the business.

  • A Trade Name is a word, name, symbol, device, or any combination of the foregoing in any form or arrangement used by a person to identify his business, vocation, or occupation and distinguish it from the business, vocation, or occupation of others.

A Trade Name Registration Statement should state:

  • Name and address of the person, persons, firm, or partnership owning and carrying on said trade or business.

  • Nature of the business being carried on.

  • Trade, partnership, or other name used.

  • Be verified by Affidavit of the person operating under the trade name

Filing Requirements:

  • It must be filed in the superior court of the county in which the business is chiefly carried on, or, in the case of a “domestic corporation using any name other than its corporate name," in the county of its legal domicile.

  • The cost to file a Trade Name is $165.00

Exemptions:

  • Trade Name Registration Exemptions are those business or corporate entities that are not required to register trade names. The following entities, which have been filed for record pursuant to Title 14-9, 14-9A, and 14-11, are exempted from registering trade names:

    • Corporations doing business under their corporate names.

    • Limited liability companies doing business under their limited liability company names.

    • Limited partnerships doing business under their limited partnership names.

Description:

  • A Partnership is an association of two or more persons formed for the purpose of carrying on a co-owned business for profit. 

  • A Statement of Partnership is a document declaring the formation of a partnership. To create a legal entity, it must be signed by all of the partners and be recorded in the office of the clerk of superior court in any county in the state. A copy certified by the clerk in whose office it was originally filed may be filed in the office of the superior court clerk in every county where the partners desire such registration

The Statement of Partnership must include the following:

  • The name of the partnership.

  • The location of the principal place of business of the partnership, if any.

  • The names and places of residence of all of the partners.

  • The term for which the partnership is to exist, or that it is to exist until terminated by law or according to its provisions.

  • Any limitations on the partners to act on behalf of other partners or the partnership which the partnership desires to disclose.

  • Any property belonging to the partnership which the partnership desires to disclose.

  • Information regarding the withdrawal or admittance of any partner.

 

A Statement of Partnership may be amended by the partners at any time by executing and recording the Amendment in the same manner as the Statement. The Amendment must include:

  • The name of the partnership.

  • The date or dates of filing of the Statement and any prior Amendments.

  • The place or places, by reference to the book and page, where the Statement of Partnership and Amendments are recorded.

  • The Amendment itself.

Filing Requirements:

  • A Statement of Partnership, signed by all the partners and notarized, must be recorded in the office of the clerk of the superior court of any county.

  • If the Partnership desires to file the statement in more than one county, a copy certified by the clerk in whose office it was originally filed may be filed in the office of the superior court clerk in every such county.

  • The cost to file a Statement of Partnership is $208.00.
